Public offer agreement

1. General Provisions

1.1. In accordance with Article 641 of the Civil Code of Ukraine (hereinafter referred to as the "CCU"), this Agreement is a public offer (hereinafter referred to as the "Offer") and constitutes an official proposal by the website https://3piroga.ua/, hereinafter referred to as the "Seller", which carries out entrepreneurial activity related to the sale of goods, including remotely, as provided by this Offer.

1.2. Acceptance of the public offer means the Buyer agrees to pay for and accept the Goods from the Seller.

1.3. According to Part 2 of Article 642 of the Civil Code of Ukraine, payment for the Goods by the Buyer also constitutes acceptance of this public offer and is deemed equivalent to concluding a purchase and sale agreement under the terms set forth herein.

1.4. The Seller reserves the right to modify this Agreement unilaterally without prior notice to the User / Buyer. The updated Agreement becomes effective from the moment it is published on the Seller’s website.

1.5. The Agreement is considered concluded from the moment the User registers on the website and/or from the moment the Buyer places an Order.

The Order must include:

  • surname and first name (for individuals);

  • full legal name and location of the Buyer (for legal entities), as well as the name and surname of the representative placing the Order on behalf of the entity;

  • delivery address and contact phone number for communication with the Buyer or their representative;

  • the names, quantities, and prices of the ordered Goods.

1.6. In this Offer, unless the context requires otherwise, the following terms have the meanings ascribed to them below:

  • "Offer" – the Seller’s public proposal addressed to any individual or legal entity to conclude a purchase and sale agreement (hereinafter referred to as the "Agreement") under the terms set forth herein, including all its annexes.

  • "Seller" – the company selling Goods displayed on the website https://3piroga.ua/.

  • "Visitor" – an individual who has visited the website https://3piroga.ua/ without the intention to place an Order.

  • "User" – a Visitor who has accepted the terms of this Offer and intends to place an Order in the online store https://3piroga.ua/.

2. Subject of the Agreement

2.1. The Seller sells Goods in accordance with the current price list published on its website, and the Buyer agrees to pay for and accept the Goods under the terms of this Agreement.

2.2. This Agreement and all its annexes constitute official documents of the Seller and form an integral part of the Offer.

3. Placing an Order

3.1. The Buyer places an Order through the website https://3piroga.ua/ by registering on the Website.

3.2. Registration (placement) of an Order on the Website constitutes the Buyer’s consent to provide the Seller with registration information, including consent to the processing of personal data such as surname, name, patronymic, date of birth, gender, place of work and position, postal address, home, work, and mobile phone numbers, and email address. This includes collection, storage, use, anonymization, blocking, destruction, and transfer to the Seller’s contractors for further processing for research, marketing, and service improvement purposes, including communication via mail, email, phone, fax, and Internet channels.

3.2.1. The Buyer also authorizes the Seller and its contractors to process personal data using automated systems, CRM systems, or other software developed at the Seller’s request.

3.3. Acceptance of this Offer is made by the Buyer through registration and submission of an Order on the Website. The date of the Buyer’s submission of registration data constitutes the date of the Order and the date of conclusion of the Agreement between the Seller and Buyer.

3.4. The Buyer has the right to edit their registration information.

3.5. The Seller agrees not to disclose the Buyer’s personal data to third parties unrelated to the fulfillment of the Order. Upon confirming the Order, the Buyer provides the necessary information for delivery.

3.6. The Buyer is responsible for the accuracy of the information provided when placing the Order.

4. Order Fulfillment Time

4.1. The Order fulfillment period depends on product availability and processing time. If part of the Order is unavailable, the Seller may cancel that item.

4.2. The Order is considered fulfilled when transferred to the Buyer together with a sales receipt.

4.3.–4.4. The Seller is not responsible for improper execution if the Buyer provided incorrect contact or order information.

4.5. Delivery times are stated in the “Delivery” section on the Website.

4.6. Delays may occur due to force majeure (weather, traffic, accidents, etc.).

4.7.–4.8. Goods are handed to the Buyer or designated recipient. The courier may request ID for verification. If the Buyer is a legal entity, the recipient must affix the company seal and, for non-cash payments, provide a power of attorney. Personal data confidentiality is guaranteed.

5. Payment

5.1. Payment methods (cash, card, invoice for legal entities, LiqPay) are listed in the “Delivery” section.

5.2.–5.4. All payments are in UAH. Prices are listed on the website. The Seller may change prices unilaterally, but not for already placed Orders.

5.5. The Seller may establish bonus programs, promotions, and gifts. Their terms are listed on the Website and may be updated unilaterally.

6. Other Conditions

6.1.–6.2. By placing an Order, the Buyer agrees to the terms of this public offer. The Seller may refuse service to anyone who disagrees.

6.3. The online store may be temporarily unavailable for maintenance or technical reasons.

6.4. The final cost of the Order may differ from the estimated cost due to:

  • replacement of unavailable items;

  • weight differences in per-kilogram items.

6.5. In matters not covered by this Agreement, the Parties shall be governed by the legislation of Ukraine.

7. Liability and Dispute Resolution

7.1. The Parties are liable for failure to fulfill their obligations in accordance with Ukrainian law.

7.2. Disputes shall first be resolved through negotiation; otherwise, they are subject to court proceedings under Ukrainian law.

8. Duration of the Agreement

8.1. This Agreement is valid from the moment of the User’s registration on https://3piroga.ua/ or the Buyer’s request for an Order.

8.2. The moment of request is deemed the moment the Buyer takes actual steps to purchase the Goods.
